The Nominations Committee is chaired by the Chairman of Ofcom. All non-executive Ofcom Board members are members of the Nominations Committee.
1) The functions of the Nominations Committee (“the Committee”) are:
a) to make nominations for executive Board member appointments (other than the Chief Executive) to the Chairman in accordance with the guidelines set out in Annex A to the terms of reference;
b) to make nominations for the appointment of a Chief Executive to the Chairman and all other non-executive members of the Board and the Secretary of State in accordance with the guidelines set out in Annex A to the terms of reference;
c) to make nominations for appointments to any other Group Director vacancies as agreed between the Chairman of the Committee and the Chief Executive.
d) to regularly review the structure, size and composition (including the skills, knowledge and experience) of the Board in order to inform the exercise of its functions;
e) to consider the succession plan for all Board members at least once annually in order to inform the exercise of its functions;
f) to oversee Ofcom’s succession planning for the Chief Executive and Group Directors and of any other colleague(s) as agreed between the Chairman of the Committee and the Chief Executive in order to inform the exercise of its functions;
g) to evaluate the performance of Board members on a regular basis and to make appropriate recommendations to DCMS concerning re-appointments of non-executive members when appropriate (it being understood and agreed that no member of the Committee shall participate in any evaluation about their own performance or succession);
h) to ensure that on appointment to the Board non-executive members receive an appropriate induction including briefings and meetings with relevant Ofcom colleagues.
